TERMS OF SERVICE AND PURCHASE TERMS

These Terms of Service and Purchase Terms (“Terms”) govern your access to and use of the HD Athletics website located at www.hdathletics.media (the “Website”), and any purchase of photography products or services through the Website.
The Website is operated by HD Athletics LLC, a Michigan limited liability company (“HD Athletics,” “we,” “us,” or “our”). Our contact email is Nick@hdathletics.com.
By accessing or using the Website, creating an account, accessing a gallery, or placing an order, you agree to these Terms. If you do not agree, do not use the Website or place an order.
1. Eligibility and Accounts
You represent that you are at least 18 years old and legally able to enter into these Terms. If you are using the Website or placing an order for a minor, you represent that you are the minor’s parent or legal guardian, or otherwise have authority to do so.
You are responsible for maintaining the confidentiality of any gallery password, account credentials, or access link provided to you. You agree not to share, sell, transfer, or misuse another person’s gallery-access information.
2. Website Use
HD Athletics grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Website for personal, noncommercial purposes in accordance with these Terms.
You may not:
• Use the Website for unlawful, fraudulent, or unauthorized purposes
• Interfere with the Website’s security, functionality, or operation
• Attempt to access galleries, accounts, systems, or information you are not authorized to access
• Use bots, scrapers, data-mining tools, or automated systems without our written permission
• Copy, reproduce, distribute, display, sell, sublicense, or commercially exploit Website content or photographs except as expressly allowed by these Terms
• Remove copyright notices, watermarks, branding, or other proprietary notices
• Upload or transmit harmful code, malware, or content that infringes another person’s rights
We may suspend or terminate access to the Website or a gallery if we reasonably believe these Terms have been violated.
3. Orders, Prices, and Payment
Prices, product descriptions, availability, promotions, and package offerings may change without notice before an order is placed. The price displayed at checkout is the price that applies to your order, subject to correction of obvious errors.
By submitting an order, you authorize HD Athletics and its payment processor to charge the payment method you provide for the total amount shown at checkout, including applicable taxes, shipping charges, and other disclosed fees.
Your order is an offer to purchase. HD Athletics may accept, decline, cancel, or limit an order for reasons including product availability, suspected fraud, payment authorization issues, inaccurate pricing, or other legitimate business reasons. If we cancel an order after payment has been processed, we will issue a refund for the canceled portion of the order.
You are responsible for providing accurate contact, delivery, and shipping information. HD Athletics is not responsible for delays or losses caused by inaccurate information supplied by you.
4. Digital Downloads and Galleries
Digital images and downloads are delivered electronically through the Website, email, a gallery platform, or another method identified at the time of purchase.
Unless otherwise stated at checkout:
• Digital-download purchases are final once the download link, file, or gallery access has been delivered or made available
• You are responsible for downloading and securely storing purchased files before the gallery or download link expires
• Gallery availability periods may vary by event and will be communicated on the Website, in the gallery, or at checkout
• HD Athletics may remove or restrict gallery access when a gallery expires, an event agreement ends, a legal issue arises, or we are required to do so by a tournament organizer, venue, school, league, or law
If you experience a technical problem accessing a purchased digital product, contact us at Support@hdathletics.com within 30 days of purchase. We will make reasonable efforts to verify the issue and provide a replacement download or other appropriate remedy.
5. Prints and Physical Products
Prints, framed products, specialty items, and other physical products may be produced by HD Athletics or a third-party fulfillment provider.
Estimated production and shipping timelines are estimates only unless a specific delivery date is expressly guaranteed in writing. We will make reasonable efforts to fulfill orders within the stated timeframe.
If no shipment timeframe is stated, HD Athletics will have a reasonable basis to expect shipment within 30 days. If we cannot ship by the promised date—or within 30 days when no shipment date is stated—we will notify you, provide a revised shipment date, and explain your cancellation and refund options as required by applicable law.[ftc +1]
Because prints and many physical items are custom-produced, they generally cannot be returned merely because you changed your mind. However, if an item arrives damaged, defective, materially different from the order, or incorrect because of an error by HD Athletics or its fulfillment provider, contact us at [contact email] within [number] days of delivery and include photographs of the item and packaging when possible.
If we verify an eligible issue, we may, at our option and as permitted by law, replace the item, provide a corrected item, issue store credit, or issue a refund.
6. Event Coverage and Availability
HD Athletics provides photography services at selected sporting events, tournaments, games, and activities. We do not guarantee that every athlete, participant, team, game, moment, or activity will be photographed.
Photography coverage may be affected by schedules, field or court access, lighting, weather, weather delays, participant availability, tournament operations, venue rules, safety requirements, equipment issues, actions of third parties, or circumstances beyond our reasonable control.
HD Athletics is an independent photography provider unless expressly stated otherwise in writing. We do not control and are not responsible for the conduct, policies, schedules, cancellations, rules, decisions, or operations of tournament organizers, leagues, schools, teams, venues, coaches, officials, or other third parties.
7. Cancellations and Refunds
The refund and cancellation terms displayed during checkout or in a specific package description apply to that purchase. If a written event-specific or package-specific policy conflicts with these Terms, the event-specific or package-specific policy controls for that purchase.
Except where required by applicable law or expressly stated otherwise:
• Digital products are nonrefundable after delivery or access
• Custom prints and physical products are nonrefundable after production begins, except for eligible errors, defects, damage, or incorrect fulfillment
• Photography-service deposits, booking fees, and event packages may be nonrefundable if they reserve HD Athletics’ availability or cover work already performed
• If HD Athletics cancels a paid photography service and does not provide a reasonably comparable replacement service, the customer’s remedy will be a refund of amounts paid for the canceled service
Nothing in these Terms limits any consumer right that cannot legally be waived.
8. Copyright and Image License
All photographs, videos, graphics, text, logos, galleries, designs, and other content on the Website or created by HD Athletics are owned by HD Athletics or its licensors and are protected by United States copyright, trademark, and other intellectual-property laws.
Generally, the photographer who creates a photograph is its initial copyright owner, and copyright protection applies to original photographs.
Purchasing a print, digital image, package, or download does not transfer copyright ownership to you. Subject to your full payment and compliance with these Terms, HD Athletics grants you a limited, revocable, nonexclusive, nontransferable license to use the purchased image for your personal, noncommercial use.
Personal use includes:
• Printing purchased images for personal display
• Sharing purchased images with family and friends
• Posting purchased images on personal, noncommercial social-media accounts, provided HD Athletics’ watermark, copyright notice, and attribution are not removed or altered
You may not, without HD Athletics’ prior written permission:
• Sell, license, sublicense, distribute, or commercially exploit an image
• Submit an image for publication, advertising, sponsorship, endorsement, fundraising, or commercial use
• Use an image for a business, organization, team promotion, brand, product, or paid campaign
• Enter an image into a contest or use it in editorial or commercial publication
• Alter an image in a way that removes watermarks or copyright information, materially misrepresents the original work, or falsely suggests HD Athletics’ endorsement
• Use an image to train, develop, operate, or improve artificial-intelligence, machine-learning, facial-recognition, or similar systems
• Claim ownership of an image or register it with the U.S. Copyright Office

9. Privacy and Minor Participants
Our collection, use, and handling of personal information are described in our Privacy Policy, available here. The Privacy Policy is incorporated into these Terms by reference.
HD Athletics may photograph athletes, participants, spectators, and activities at events where we are authorized or invited to provide photography services. Permissions related to event participation, athlete photography, publicity, likeness rights, and team or organizer use may be governed by separate agreements, event-registration materials, venue rules, league policies, releases, or permissions.
Nothing in these Terms grants HD Athletics a right to use a minor’s likeness for advertising, marketing, or promotional purposes beyond rights HD Athletics has separately obtained through a valid release, event agreement, parent/guardian consent, or other applicable authorization.
10. Third-Party Services and Links
The Website may use or link to third-party services, including payment processors, gallery platforms, print labs, shipping providers, social-media platforms, tournament websites, and other external sites.
HD Athletics does not control third-party websites or services and is not responsible for their content, policies, availability, products, privacy practices, or actions. Your use of third-party services is governed by their own terms and privacy policies.
11. Disclaimers
The Website and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, HD Athletics disclaims warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.
HD Athletics does not warrant that the Website will always be uninterrupted, secure, error-free, or available at a particular time. We do not guarantee that every event, athlete, game, image, product, or service will be available.
These disclaimers do not limit warranties, remedies, or consumer rights that cannot be legally disclaimed or limited.
12. Limitation of Liability
To the fullest extent permitted by applicable law, HD Athletics and its owners, employees, contractors, agents, vendors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Website, photography services, galleries, products, or these Terms.
To the fullest extent permitted by applicable law, HD Athletics’ total liability arising from or relating to a particular order, product, service, or claim will not exceed the amount you paid to HD Athletics for the specific product or service giving rise to the claim.
Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law, including liability for intentional misconduct, fraud, or rights that cannot be waived under applicable consumer-protection law.
13. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless HD Athletics, its owners, employees, contractors, agents, vendors, and licensors from claims, liabilities, damages, losses, and expenses—including reasonable attorneys’ fees—arising from your misuse of the Website, violation of these Terms, infringement of another person’s rights, or unlawful use of photographs or other Website content.
This obligation does not require you to indemnify HD Athletics for HD Athletics’ own negligence, intentional misconduct, or legal violations to the extent such indemnification is prohibited by law.
14. Governing Law and Venue
These Terms, your use of the Website, and any dispute arising from or relating to the Website, products, services, or these Terms are governed by the laws of the State of Michigan, without regard to Michigan’s conflict-of-laws principles.
Except where applicable law requires otherwise, any legal action arising out of or relating to these Terms must be brought in the state or federal courts located in the State of Michigan. You and HD Athletics consent to the personal jurisdiction and venue of those courts.
Federal law may apply to certain issues, including federal intellectual-property law, federal consumer-protection requirements, and other matters governed by federal law.
15. Dispute Resolution
Before filing a legal claim, you agree to contact HD Athletics at [contact email] and provide a written description of the issue and the requested resolution. The parties will make a good-faith effort to resolve the matter informally for at least 30 days.
This section does not require either party to waive any legal right, does not prevent either party from seeking emergency injunctive relief when appropriate, and does not limit any consumer protection or legal remedy that cannot be waived.
16. Changes to These Terms
We may revise these Terms from time to time. When we do, we will update the “Last Updated” date at the top of this page.
Material changes will apply prospectively unless applicable law permits otherwise. If we make a material change affecting an existing paid order or service, we will provide notice through the Website, email, or another reasonable method when required by law or reasonably practicable.
Your continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms, except where additional notice or consent is required by law.
17. Severability and No Waiver
If a court determines that any part of these Terms is invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
HD Athletics’ failure to enforce any provision of these Terms is not a waiver of its right to enforce that provision later.
18. Entire Agreement
These Terms, the Privacy Policy, any event-specific terms, any purchase-specific terms presented at checkout, and any written agreement signed by HD Athletics and you form the entire agreement between you and HD Athletics regarding the applicable Website use, product, or service.
If there is a conflict, a signed written agreement controls first, followed by specific checkout or event terms, then these Terms, unless applicable law requires a different result.
